Section 1.1 Principal Executive Office.
The principal executive office for the transaction of business of the corporation shall be fixed or may be
changed by the approval of a majority of the authorized Directors, and additional offices may be established and
maintained at such other place or places as the Board of Directors may from time to time designate. The Board
of Directors is hereby granted full power and authority to change said principal executive office from one location
to another. Any such change shall be noted on these Bylaws by the Secretary opposite this section, or this
Section may be amended to state the new location.
Section 1.2 other Offices.
Branch or subordinate business offices may be specified by the Board of Directors at any place or places
where the corporation is qualified to do business.
Meetings of Shareholders
Section 2.1 Place of Meetings.
All meetings of shareholders shall be held at the principal executive office of the corporation, or at any
other place, within or without the State of Nevada, specified by the Board of Directors.
Section 2.2 Annual meeting.
The annual meeting of the shareholders, after the year 2002, shall be held at the time and date in each
year fixed by the Board of Directors, or, if not so designated, then on May 15th, in each year if not a legal
holiday, and, if a legal holiday, on the next succeeding day not a legal holiday. At the annual meeting directors
shall be elected, reports of the affairs of the corporation shall be considered, and any other business may be
transacted that is within the power of the shareholders.
Section 2.3 Notice of Annual Meeting.
Written notice of each annual meeting shall be given to each shareholder entitled to vote, either personally or by
first-class mail, or, if the corporation has outstanding shares held of record by 500 or more persons (determined
