RAYTHEON EMPLOYEE SAVINGS AND INVESTMENT PLAN
ARTICLE I
Adoption of the Plan
1.1 Amendment and Restatement.
(a) The Raytheon Employee Savings and Investment Plan (the "Plan") was originally established effective July 1,
1987, as the Badger Savings and Investment Plan. Raytheon Company, a corporation organized under the laws
of the state of Delaware, adopted the Plan effective May 12, 1993, and changed its name to the Raytheon
Employee Savings and Investment Plan. Raytheon Company desires to amend and restate the Plan in its entirety
effective January 1, 1999. The amended and restated Plan shall consist of three portions - (1) a profit sharing
plan that includes a cash or deferred arrangement under section 401(k) of the Code ("401(k) Portion"), (2) a
stock bonus plan ("Stock Bonus Portion"), and (3) a stock bonus plan that constitutes an employee stock
ownership plan within the meaning of section 4975(e)(7) of the Code ("ESOP Portion"). Except as otherwise
provided herein, the provisions of the Plan shall apply in the same manner to the 401(k), Stock Bonus and ESOP
Portions of the Plan.
(b) In accordance with sections 4.5(a) and 15.1 of the Plan, effective January 1, 1999, all or a portion of the
following qualified retirement plans shall merge into and become part of the Plan:
Raytheon Savings and Investment Plan for Specified Hourly Employees Raytheon Tucson Bargaining Savings and
Investment Plan (10013) Raytheon Savings and Investment Plan (10014) Serv-Air, Inc. Savings and Retirement
Plan Raytheon Stock Ownership Plan for Specified Hourly Employees
The above-referenced qualified retirement plans shall cease to exist as separate plans after December 31, 1998.
(c) The Plan is intended to comply with all of the applicable requirements under sections 401(a), 401(k) and
4975(e)(7) of the Code and the terms of the Plan shall be interpreted consistent therewith.
1.2 Trust. The Trust shall be the sole source of benefits under the Plan and the Adopting Employers or any
