Asahi has entered into a binding agreement to acquire Schweppes Australia from Cadbury
March 12, 2009, Tokyo, Japan – Following the conditional agreement entered into between Asahi Breweries, Ltd.
(“Asahi”) and the Cadbury Group (“Cadbury”; Head Office: London, UK; CEO: Todd Stitzer) on December 24,
2008, Asahi is pleased to announce that it has entered into a binding sale and purchase agreement with the
Cadbury Group to acquire the Australian beverages business owned and operated by Cadbury (“Schweppes
1. Acquisition of Schweppes Australia
Under the agreement, Asahi Holdings (Australia) Pty Ltd (“AHA”), a wholly owned subsidiary of Asahi, is
to acquire all of the issued shares in Schweppes Holdings Pty Ltd (“SHPL”), the direct parent company of
Schweppes Australia Pty Ltd. The agreement is subject to normal closing conditions which are expected to
be satisfied by April 30, 2009. Approval from the Australian Foreign Investment Review Board ("FIRB")
has been obtained.
The acquisition of Schweppes Australia will strengthen our international soft drinks business, create a new
platform for growth in Oceania and enable us to capture synergies across the Group.
