INTRODUCTION
On June 26, 2006, the initial Case Management Conference in this action was held. On
the following day, the Court issued its Order Following Case Management Conference
(“Order”), which provided in part that the scope of discovery, prior to the filing of the parties’
partial summary judgment motions, “shall be limited to discerning (i) the terms and conditions of
the agreement, if any, that existed between the parties. . . and (ii) the parties’ understanding of
