THIS SUBLEASE AGREEMENT ("Sublease") is made and entered into by and between ZERO STAGE
CAPITAL, INC., a California corporation ("Sublessor") and KERYX BIOPHARMACEUTICALS, INC., a
Delaware corporation ("Sublessee").
A. Reference is made to that certain Lease Agreement, dated as of June 28, 1991, as amended by Amendment
No. 1 to Agreement to Lease dated March 31, 1994, Amendment No. 2 to Agreement to Lease dated April 7,
1994, Amendment No. 3 to Agreement to Lease dated July 31, 1996, Amendment No. 4 to Agreement to
Lease dated January 12, 1998 and Fifth Amendment to Lease dated as of November 21, 2000 (as amended,
the "Lease"), whereby Sublessor leases from Riverfront Office Park Joint Venture, predecessor in interest to
NOP Riverfront LLC ("Landlord"), a portion of the seventeenth (17th) floor comprising approximately 8,605
rentable square feet contained in the building ("Building") known and numbered as 101 Main Street, Cambridge,
Massachusetts ("Leased Premises") more particularly described in Exhibit "A" attached hereto and incorporated
herein by reference. The Lease is incorporated herein by this reference in accordance with
Section 9 hereof. Terms capitalized in this Sublease and not otherwise defined herein shall have the meanings
ascribed to them in the Lease.
B. Sublessee desires to sublease a portion of the Leased Premises from Sublessor.
C. The Lease provides that Sublessor shall not sublet the whole or any part of the Leased Premises without first
obtaining the consent of Landlord.
Subject to the terms and conditions and in consideration of the mutual covenants contained in this Sublease, the
parties mutually agree as follows:
1. Leased Premises. Sublessor hereby subleases to Sublessee, and Sublessee hereby subleases from Sublessor a
portion of the Leased Premises located on the seventeenth (17th) floor comprising approximately 2,915 rentable
square feet, more particularly described in Exhibit "B" attached hereto an
