2003 Equity Incentive Plan
PURPOSE AND EFFECTIVENESS
1.1 Purpose . The purpose of the Mediware Information Systems, Inc. 2003 Equity Incentive Plan (the "Plan") is
to promote the success of Mediware Information Systems, Inc. (the "Company") by providing a method whereby
employees, directors, and independent contractors providing services to the Company and its Affiliates may be
encouraged to increase their proprietary interest in the Company. By offering incentive compensation
opportunities that are competitive with those of similar enterprises and based on the Company's common stock,
the Plan will motivate Participants to continue to provide services and achieve long-range goals, further identify
their interests with those of the Company's other shareholders, and promote the long-term financial interest of the
Company and its Affiliates, including enhancement of long-term shareholder value. The Plan is also intended to
aid in attracting persons of exceptional ability and leadership qualities to become officers, employees, directors,
and independent contractors of the Company and its Affiliates.
1.2 Effective Date and Shareholder Approval . The Plan became effective on October 22, 2003, the date on
which the Plan was adopted by the Company's Board of Directors (the "Effective Date"). Such adoption shall be
subject to approval at the 2003 annual meeting of the Company's shareholders, pursuant to the provisions of
Section 12.2 of the Plan. Any Awards granted under the Plan prior to such shareholder approval shall be
conditioned upon such approval and shall be null and void if such approval is not obtained.
1.3 Term of Plan . The Plan shall be unlimited in duration and, in the event of Plan termination, shall remain in
effect as long as any Awards under it are outstanding; provided, however, that no Awards may be granted under
the Plan after the ten-year anniversary of the Effective Date (except fo
