The 2002 Prudential Financial Long-Term Performance Unit Plan (“the Plan”) has been developed to recognize and reward the
contributions that Participants (as hereafter defined) will make towards the Prudential Financial, Inc.’s (“Prudential”, “PFI”, or
“the Company”) long-term growth and success.
The Long-Term Performance Unit Plan is one of the four elements of Total Compensation applicable to designated Executives in
