NEW YORK--(EON: Enhanced Online News)--Bull & Lifshitz, LLP announces an investigation into possible
breaches of fiduciary duty in connection with the proposed acquisition of ATC Technology Corporation (NASDAQ:
ATAC- News) (referred to as "ATC" or the “Company”) by GENCO Distribution System, Inc. (referred to as
"GENCO") in a cash transaction valued at approximately $512.6 million.
Under the terms of the transaction, approved by the board of directors of both companies, each outstanding share of
ATC will be converted into the right to receive $25.00 per share in cash. Completion of the merger is subject to,
among other things, approval by holders of a majority of ATC's outstanding common stock.
