COURSE TITLE: Company law (2 credits).
COURSE DURATION:
1hr and 30 mins. per week for 12 weeks.
COURSE OBJECTIVE:

The subject makes an attempt to incotporate all the laWsthat provides the foundation and legal
framework to guide the formation of a company till the dissolution or winding up of a company.
FOCUS
The spotlight wiD be on:
.The legalities to be complied while the formation of a company and understanding the power anI
scope of legal documents like Memorandum of Association(MoA), Memorandum ofUnderstandk
(MoU), different kind of prospectus etc.
.The implications and intricacies of legal processes involved in the working of a company like
allotment and redemption of shares, debentures, dividends, company meetings etc.
FORMAT
The objectives would be achieved by following a mixed pedagogy consisting of:
.Lectures supported by case discussion.
.Case presentation by students
EVALUATION PATTERN:
Internal assessment: 30 marks
End Term assessment: 70 marks
Internal assessment would be a combination of attendance, classroom participation, assignments
submission, midterm tests, quizzes, presentations and projects Qiveor dummy) Incase of projects
and presentations, students necessarily need to create archives for all such projects undertaken and
submit ~tto the academics division at the end of every trimester. End Term. assessment could be a
subjective or objective"type question paper or a combination of both. The final 'discretion lies with
the faculty.
