Exhibit A (Charter)
The Commission Plan (effective on May 1, 2009), will be effective for all Customers activated on or after
this date. Exhibit W creates a plan for Charter Communications Commissions. Charter Communications
may change this Commission Plan at any time, in whole or in part. ConectUS Wireless will provide 10 days
written notice to AAR if Charter Communications changes this Commission Plan in a manner that
materially decreases AAR’s compensation.
The attached Table 1 sets out the standard commission payouts for AAR under the Wireless Commission
Plan described below. ConectUS Wireless may change the payouts and terms of the Commission Plan at
its sole discretion.
1. COMMISSION PLAN COMPONENTS. ConectUS Wireless will pay AAR commissions on a monthly
basis for qualifying Net New Customers, subject to the terms and conditions of this Commission Plan.
Commission payments will be made 50 days following the close of business for any one month in which
units were installed (ie: All units installed during May, 2009 = commission payment on July 20, 2009)
1.1 Standard Commission. AAR will earn a standard commission (“Standard Commission”)
for each Net New Customer that it activates on a Qualified Service Plan. All commissions are subject to a
90 day chargeback period.
1.2 Should AAR activate New or Existing Customers as outlined in the Standard Commission
Table, the commission breakdown will be as follows:

If vendor terminates this program for any reason whatsoever all outstanding payment will be
paid to vendor after ending of charge back period.
DNC Compliance:
Vendor will be responsible to use federal D.N. C list scrubbed calling data. To provide 100%
compliance with DNC vendor.
Penalty: Vendor agrees to pay penalty as per following
(a) Federal and States DNC violation Penalty if found guilty by Federal or State DNC violation
and ask to pay penalty by government agencies to Cyberonium
