The following table sets forth the current annual base salaries of the Named Executive Officers 1 (the “NEOs”) of Franklin
Resources, Inc. (the “Company”) as of October 1, 2008. In light of current market conditions, the NEOs determined to reduce
their respective base salaries by ten percent (10%) effective October 1, 2008.
