EMPLOYMENT AGREEMENT
THIS EMPLOYMENT AGREEMENT (this "Agreement"), dated January 8, 2001 (the "Effective Date"), is
made and entered into by and between Campbell Soup Company, a New Jersey corporation (the "Company"),
and Douglas R. Conant (the "Executive").
WHEREAS, the Company desires to secure the Executive's participation in the manner hereinafter specified in
the business of the Company and to make provision for payment of reasonable compensation to the Executive for
such services and the Executive is willing to be employed by the Company to perform the duties incident to such
employment upon the terms and conditions hereinafter set forth and thus to forego opportunities elsewhere; and
WHEREAS, in conjunction with entering into the Severance Protection Agreement (the "Severance Protection
Agreement"), the Non-Competition Agreement (the "Non-Competition Agreement") and the Employee
Agreement (the "Employee Agreement"), which are attached hereto as Exhibits A, B and C, respectively, the
parties also desire to enter into this Agreement, as of the Effective Date, setting forth the terms and conditions of
the employment relationship of the Executive with the Company during the Term (as hereinafter defined).
NOW THEREFORE, in consideration of the promises and the mutual covenants herein contained, the parties
hereby agree as follows:
1. Employment; Duties.
(a) Employment. The Company hereby agrees to employ the Executive, and the Executive hereby agrees to
serve, as Chief Executive Officer and President of the Company. The Executive will also be nominated to stand
for election to the Board of Directors of the Company (the "Board") and, as a member of the Board, will be
appointed to the Board's Finance and Corporate Development Committee and the Executive Committee. As
Chief Executive Officer and President of the Company, the Executive will be invited to attend meetings of all
other Board Committees, it being understood that such Board Committees may excuse the Executive
