COMPANIA MINERA ANTAMINA S.A. – CODE OF CONDUCT
A. Objective:
Each employee of Compania Minera Antamina S.A occupies a position of respect and trust
and represents the Company in its relationships with other employees, clients, suppliers,
contractors, competitors, government, non-government organizations and general public.
In order to improve the efficiency in the report-presentation structure of the Company, a list
of delegation of authority has been created that makes it possible to draw funds and to give
authorizations at different administrative levels. This authorization will place many of our
employees in a position of greater confidence.
Antamina expects each employee to keep the highest conduct standards in the development
of the Company operations and to act in a way that enhances the good name of the
Company with regard to honest, complete and faithful compliance of its obligations.
To guarantee such behavior, Antamina has adopted a Conduct Code (the “Code”) in which
required behavioral standards are established. It must be considered that non-compliance
with this Code will have serious consequences, including being fired.
B. Scope:
The Code applies to all employees (permanent or temporary), agents, contractors, officers,
directors and members of the committees that are appointed by the Board and the term
“employee” will be understood as including each of the afore-mentioned people. Directors
and executive officers are subject to additional duties and obligations, which have been
established according to law and Company policies.
The dispositions of the Code are mandatory and must be complied with in all cases related
to the development of the operations of the Company. Employees must also bear in mind
that, even when acting at a personal level, their activities may harm the Company, so they
must avoid any behavior that might be contrary to the Code, in case such activity is
performed as part of Company operations.
