BY-LAWS

ARTICLE I
Offices
Section 1.01 Offices. The principal office of the corporation shall be as stated in the certificate of incorporation.
The corporation may also have offices and places of business at such other places within and without the State of
New York as the board of directors may from time to time determine.
ARTICLE II
Stockholders
Section 2.01 Annual Meeting. The annual meeting of the stockholders for the election of directors (and the
transaction of such other business as may properly come before it) shall be held on such date within six months
after the end of each fiscal year of the corporation, and at such time and place within the State of New York, as
are fixed by resolution of the board of directors and stated in the notice of meeting.
Section 2.02 Special Meetings. Special meetings of the shareholders for any purpose or purposes may be called
by the president (or, in case of the absence or disability of the president, by any vice president) and must be
called by him on the written request of a majority of the directors in office or
of the holders of 50% of the shares then outstanding and entitled to vote. Such request shall state the date and
hour, the place within the City of Glen Cove or the City of New York, and the purpose or purposes of the
meeting, and must be delivered or mailed to the president or such vice president not later than fifteen days prior
to the proposed date of the meeting.
Section 2.03 Notice of Meetings. Written or printed notice of each meeting of stockholders, stating the purpose
or purposes for which the meeting is called and the date and hour when and the place within the State of New
York where it is to be held, shall be signed by the president or a vice president, or by the secretary or an
assistant secretary, and a copy thereof shall be mailed to each stockholder of record entitled to vote at such
meeting not less than ten nor more than forty days before the m
