PENNSYLVANIA COMMERCE BANCORP, INC.
Section 1.1 The Corporation shall have and continuously maintain in Pennsylvania a registered office which may,
but need not, be the same as its place of business and at an address to be designated from time to time by the
Board of Directors.
Section 1.2 The Corporation may also have offices at such other places as the Board of Directors may from time
to time designate or the business of the Corporation may require.
Section 2.1 All meetings of the shareholders shall be held at such place or places within or without the
Commonwealth of Pennsylvania as may be fixed from time to time by the Board of Directors.
Section 2.2 The annual meeting of the shareholders for the election of directors and the transaction of such other
business as may properly come before the meeting shall be held at such time as the Board of Directors shall fix.
Any business which is a proper subject for shareholder action may be transacted at the annual meeting,
irrespective of whether the notice of said meeting contains any reference thereto, except as otherwise provided
by applicable law.
Section 2.3 Special meetings of the shareholders may be called at any time by the President, the Chairman of the
Board, a majority of the Board of Directors or by shareholders entitled to cast at least one-third of the votes
which all shareholders are entitled to cast at any particular meeting. If such request is addressed to the Secretary,
it shall be signed by the persons making the same and shall state the purpose or purposes of the proposed
meeting. Upon receipt of any such request, it shall be the duty of the Secretary to call a special meeting of the
shareholders to be held at a time, not less than ten nor more than sixty days thereafter, as the Secretary may fix. If
the Secretary shall neglect or refuse to issue such call within five days from the receipt of such request, the person
