DST SYSTEMS, INC.
DEFERRED COMPENSATION PLAN
SECTION 1 INTRODUCTION
1.1 THE PLAN AND ITS EFFECTIVE DATE. The DST Systems, Inc. Deferred Compensation Plan ("Plan")
is established as of May 12, 1998 (the "Effective Date").
1.2 PURPOSE. DST Systems, Inc. (the "Company") has established the Plan for a select group of management
and highly compensated employees of the Company or any subsidiary or affiliate that adopts the Plan in
accordance with Section 6 (together with the Company, an "Employer) to attract and retain highly qualified
personnel by offering the benefits of a non-qualified, unfunded plan of deferred compensation. The Plan is
intended to be a top-hat plan described in Sections 201(2), 301(a)(3) and 401(a)(1) of the Employee Retirement
Income Security Act of 1974, as amended ("ERISA").
1.3 ADMINISTRATION. The Plan shall be administered by a committee (the "Committee") appointed by the
Board of Directors of the Company (the "Board"). The Committee shall have the powers set forth in the Plan and
the power to interpret its provisions. Any decisions of the Committee shall be final and binding on all persons with
regard to the Plan. The Committee may delegate its authority hereunder to one or more officers or directors of
the Company. The members of the Committee shall serve at the pleasure of the Board and may be removed, with
or without cause, by the Board.
SECTION 2 PARTICIPATION DEFERRAL ELECTIONS AND DEFERRAL AWARDS
2.1 ELIGIBILITY AND PARTICIPATION. Subject to the terms, conditions and limitations of the Plan, such
employees of the Company or other Employer who are identified as eligible by the Committee shall be eligible to
participate in the Plan ("Eligible Employees"). Any Eligible Employee who makes a Deferral Election as described
in Section 2.2 below, or with respect to whom the Committee makes a Deferral Award as described in Section
2.3 below, shall become a participant in the Plan ("Participant") and shall remain a Participant until the entire
