SECTION 1.1. PRINCIPAL OFFICE. The principal executive office of the corporation is hereby located at
such place as the board of directors (the "board") shall determine. The board is hereby granted full power and
authority to change said principal executive office from one location to another.
SECTION 1.2. OTHER OFFICES. Other business offices may, at any time, be established by the board at such
other places as it deems appropriate.
MEETINGS OF SHAREHOLDERS
SECTION 2.1. PLACE OF MEETINGS. Meetings of shareholders may be held at such place within or outside
the state of California designated by the board. In the absence of any such designation, shareholders' meetings
shall be held at the principal executive office of the corporation.
SECTION 2.2. ANNUAL MEETING. The annual meeting of shareholders shall be held for the election of
directors on a date and at a time designated by the board. The date so designated shall be within fifteen (15)
months after the last annual meeting. At such meeting, directors shall be elected, and any other proper business
within the power of the shareholders may be transacted.
SECTION 2.3. SPECIAL MEETINGS. Special meetings of the shareholders may be called at any time by the
board, the chairperson of the board, the president, or by the holders of shares entitled to cast not less than ten
percent (10%) of the votes at such meeting. If a special meeting is called by any person or persons other than the
board, the request shall be in writing, specifying the time of such meeting and the general nature of the business
proposed to be transacted, and shall be delivered personally or by registered mail to the chairperson of the
board, the president, any vice president or the secretary of the corporation. The officer receiving the request shall
cause notice to be promptly given to the shareholders entitled to vote that a meeting will be held at a time
