This Employment Agreement is hereby entered into by and between US AIRWAYS, INC. , a Delaware
corporation having its principal place of business at Crystal Park Four, 2345 Crystal Drive, Arlington, Virginia
22227 (the “Company”) and ALAN W. CRELLIN (the “Executive”), as of the 27 th day of September, 2005.
W I T N E S S E T H
WHEREAS , the Executive has the responsibilities and duties of the position of Executive Vice President-
Operations for the Company; and
WHEREAS , the Board and the Human Resources Committee of the Board believe it to be in the best
interests of the Company to enter into this Agreement to properly document the terms and conditions of the
Executive’s employment with the Company including, but not limited to, the duties and obligations of the parties
under circumstances in which there is a Change of Control of the Company;
NOW, THEREFORE , in consideration of the mutual promises herein contained, the Company and the
Executive hereby agree as follows:
1.1 Accrued Obligations shall mean any amounts of Reduced Base Salary plus any accrued and unused
vacation pay that has been earned but not yet paid by the Company, determined as of the Executive’s Date of

in which the Company owns at least a 50 percent interest, and any partnership, limited liability partnership or
