COLONIAL PROPERTIES TRUST

Colonial Properties Trust, a real estate investment trust organized under the laws of the State of Alabama (the
"Trust") having Thomas H. Lowder as its resident agent located at Energen Plaza, 2101 Sixth Avenue North,
Suite 750, Birmingham, Alabama 35203, hereby adopts the Bylaws of the Trust as of August 21, 1995, as
Section 1. PRINCIPAL OFFICE. The principal office of the Trust shall be located at such place or places as the
Trustees may designate.
Section 2. ADDITIONAL OFFICES. The Trust may have additional offices at such places as the Trustees may
from time to time determine or the business of the Trust may require.
MEETINGS OF SHAREHOLDERS
Section 1. PLACE. All meetings of shareholders shall be held at the principal office of the Trust or at such other
place within the United States as shall be stated in the notice of the meeting.
Section 2. ANNUAL MEETING. An annual meeting of the shareholders for the election of Trustees and the
transaction of any business within the powers of the Trust shall be held during the second calendar quarter of
each year on a date and at the time set by the Trustees, beginning with the year 1996.
Section 3. SPECIAL MEETINGS. Subject to the rights of the holders of any series of Preferred Shares (as
defined in the Trust's Declaration of Trust, as amended (the "Declaration of Trust")) to elect additional Trustees
under specified circumstances, special meetings of the shareholders may be called by the president or the
chairman of the Board of Trustees and shall be called by the president, the chairman of the Board of Trustees or
the secretary upon the request in writing of shareholders holding outstanding shares representing at least 25% of
all votes entitled to be cast on any issue proposed to be considered at any such special meeting.
