Articles of Incorporation
Colorado Bluegrass Music Society
The undersigned person acting as incorporator of a corporation under the Colorado
Nonprofit Corporation Act, signs and acknowledges the following Articles of
Incorporation for such corporation.
FIRST: Name of the corporation is Colorado Bluegrass Music Society.
SECOND: The period of duration is perpetual.
THIRD: The purpose or purposes for which the corporation is organized are exclusively
for charitable, religious, educational, and scientific purposes, including, for such
purposes, the making of distributions to organizations that qualify as exempt
organizations under Section 501(c)(3) of the Internal Revenue Code of 1954 (or the
corresponding provision of any future United States Internal Revenue law).
FOURTH: The address of the initial registered office of the corporation in Colorado is
518 17th Street, Suite 700, Denver, Colorado 80202 and the name of its initial registered
agent at such address is J. David Arkell.
FIFTH: The address of the principal office is 17506 East Prentice Circle, Aurora,
Colorado 80015.
SIXTH: The number of directors constituting the initial board of directors of the
corporation is five (5), and the names and addresses of the persons who are to serve as the

SEVENTH: No part of the net earnings of the corporation shall inure to the benefit of,
or be distributed to its members, directors, officers, or other private persons, except that
the corporation shall be authorized and empowered to pay reasonable compensation for
services rendered and to make payments and distributions in furtherance of the purposes
