We will facilitate these meetings when they take place and can be present if needed) How Ormita Works ORMITA REMOVES THE NEED FOR DIRECT BARTER ____________________________________________________________________________________ _____________________________________________________________________________________________________ Page 12 Ormita India Member Directory Updated 18th July 2010 ____________________________________________________________________________________ _____________________________________________________________________________________________________ Page 13 Ormita India Member Directory Issue 2 Successful traders tell us that it took them a little while to learn how to barter effectively. Why? Because spending barter rupees is a little different than spending cash. It takes planning and a little patience - but the payoff is well worth it! Keep these tips in mind: ORMITA DOES NOT WAREHOUSE STOCK Unlike other barter exchanges, we allow our members to have direct contact with one another, thereby ensuring honest trade. Ormita will never make a "profit" on purchasing from one member and selling to another. We don't mind if you try and negotiate better barter rates than we are able to achieve up-front and we prefer that members help keep the business, and each-other, honest. SPEND ORMITA INSTEAD OF CASH Once you earn barter rupees, why not use them to decrease your cash expenses? Your Ormita credits can buy key business services such as: accounting and legal, stationery, tea and coffee, office cleaning and printing – services you’d otherwise have to pay cash for. Alternatively, you can use your Ormita credits to buy supplies or to pay for client entertainment. With careful planning Ormita can help free up your cash flow! PLAN TRADES IN ADVANCE Few members will accept Ormita for urgent jobs. Most people want to use trade to fill their downtime. Allow plenty of time so that your trading partner can work the project in between cash jobs. Be understanding with them and make it clear to them that you will allow them some flexibility in finishing a certain task. WATCH FOR MEMBERS WHO ARE EAGER TO TRADE Every so often you will receive a fax or email which has updates on new members and other members who are eager to trade. Strike while the iron is hot! If you need a product or service buy it when they are trading! You can’t assume that the trade will still be there weeks or months from now! YOU CAN'T TRADE EVERYTHING Some members only accept trade at certain times and may not be accepting Ormita when cash business is at a peak and/or when they are understaffed. Low margin, high cost goods are also not generally suitable for trade. If someone is only making a 10% profit then it is unlikely that they will constantly sell their product on Ormita for 100% barter. Generally surplus items can go for 100% barter, or those items which have a high margin. The rule of thumb for bartering is this: - Does the product or service have a large number of competitors? - Does the product or service have more than 30% profit margin? - Is the product or service new to the market? - Is it possible to make, or purchase, more of the product to replace those sold on Ormita? - Does the seller have surplus capacity or can they make additional sales from existing stock? If the answer is "yes" then the product or service is suitable to barter. USE ORMITA CREDITS TO REWARD EMPLOYEES OR LOCAL CUSTOMERS Save cash and reward employees with flowers or gifts purchased from other Ormita members. Perhaps a dinner out? Or a gift voucher for a trip away? You can also use Ormita credit to put on functions at various venues. You might like to provide an information evening for your clients – or an evening to attract new clients, or just take your best customers out for dinner and drinks! INCREASE THE GOODWILL OF YOUR BUSINESS By trading with Ormita you are able to build goodwill by obtaining customers you would not previously have had. This increases the overall value of your business. Getting the Most out of Ormita TRADING TIPS ____________________________________________________________________________________ _____________________________________________________________________________________________________ Page 14 Ormita India Member Directory Updated 18th July 2010 REMEMBER - GOOD DEALS GO FAST Don’t give up if your first tries don’t produce a deal. The best deals go fast – and when members are busy with cash, they’ll often put new Ormita on hold. Over time you will build relationships with trading partners and you will learn what kind of trades work for you. SPEND ORMITA AS YOU EARN IT Here is a quick checklist: • Is your company buying its internet hosting on barter? • Are you getting your printing done on barter? • Have you swapped printers? • Is any of your repair/servicing work now done on barter? Also remember to set up regular purchases with members who can supply products you need and look for traders which can help grow your own business. ATTEND NETWORKING MEETINGS By attending networking meetings you will meet other businesses and find out a bit more about them and what they have to offer. It also gives them a chance to off-load their surplus inventory or time to people who are looking to buy. Although Ormita is a method of introducing businesses to one another you must remember that many deals are done based on relationships – it helps if you show their face at functions every now and then so that people remember who you are when it comes to making a purchasing decision. UPDATE YOUR PRODUCTS AND SERVICES ONLINE Ormita provides a unique online platform where you can sell your products and/or services. This may result in more “word-of-mouth” referrals, an increased work-portfolio, more recommendations, improved organizational skills, higher visibility and more cash sales. Is Incremental Business Each Ormita sale is incremental business over and above regular cash-paying customers. Pays for Purchases Out of New Sales Businesses acquire what they need, or want, and pay for it with additional sales of their products or services. Improves Cash-flow There are two ways to increase cash flow – reduce costs and create additional sales. Ormita does both! Ormita provides business owners the opportunity to acquire what they need with what they have and allows them to preserve their working capital for other needs. Provides Repeat Business Participants will patronize other members businesses over the competition because the credits they have earned are spent within the “community” of members. Moves Excess Inventory Every business owner struggles with the dilemma of what to do with excess products. Traditionally this inventory is discounted, sold at a loss, donated or destroyed. Ormita offers a new way to recover full market value for these commodities without impacting the brand or cash-paying customers. By selling “off-market” to Ormita members a business retains full control over product placement and pricing. Ormita matches sellers with buyers from across the globe – providing a new outlet to move those products. Helps Enhance Your Lifestyle Using new sales, a business owner can take holidays, fund new purchases for the house, undertake renovations, outsource work, create a more ambient environment, purchase health and beauty services, buy gifts, improve their education and much more. Helps Beat Inflation Ormita offers a way for businesses to supplement their existing income through the process of trading their excess capacity or slow moving inventory for things they need. Regardless of the amount of money in the economy a business owner can still make acquisitions, create more brand awareness, fund marketing campaigns, reward customers, improve staff moral and enhance their lifestyle by trading what they have for what they need. Generates More Cash Sales Ormita lets businesses purchase advertising using their own products or services as payment instead of cash. This method reduces the overall cost of advertising to pais on the rupee. By trading in downtime or excess stock, a business owner can fund new promotional campaigns to attract cash-paying customers through their doors. Recovers Value From Unsold Time and Space Time and excess production capacity are a priceless non-recoverable, non-recyclable limited commodities. Selling these via Ormita provides a mechanism for businesses to achieve greater wealth. Increases Profits Sales generated via Ormita are incremental business (over and above existing cash income). Using this new income a business owner can offset existing cash overheads and upcoming expenses by purchasing using Ormita instead. The net result is more income and cash savings. Reduces Overheads Members can offset many costs of doing business, travelling and living against new sales. Ormita also offers a way to reduce warehousing, liquidation and disposal costs. Eliminates Bad Debts Ormita members pay one another at point of sale, thereby taking the hassle out of debt collection. We also offer a unique method whereby participants can recover full value from existing at-risk or overdue debts. Realises Value from Underperforming Assets Participants can recover greater value versus discounting or liquidating. Summary List of Benefits of Being Part of Ormita SO WHY NON-CASH TRADE? ____________________________________________________________________________________ _____________________________________________________________________________________________________ Page 17 Ormita India Member Directory Issue 2 Creates Wholesale Buying Power When members purchase using Ormita they are buying out of the profit margin created from new sales – not their existing cash income. Increases a Businesses Asset Base By adding new customers and additional revenue, a business can increase its overall profitability and improve the health of its balance sheet. Increased income will offset existing purchases, freeing up cash and contributing to an overall net-profit for the business. Participants may also choose to utilize Ormita Credit to invest in local enterprises, acquire property or purchase other assets. Interest Free Finance Ormita offers a revolving, interest-free line of credit to participants. Repayments are funded through the sale of the borrowers own goods and services and are provided based on what a business can sell, not their current turn-over. Loan Repayments Cost Less Compared to Cash Because loans are repaid through a business selling its own products or services then the repayment cost is always less than it would be with cash. In the cash economy loans are repaid out of existing cash income, not new sales. Saves Cash on Capital Expenditures By funding new purchases with its own products or services, the true cost of acquiring new assets for a business becomes lower. Converts to Cash A business owner can convert their unsold time or products into new items, merchandise or services that can be on-sold or "converted" to cash at a price well above the cost of acquiring them. Provides a Test Market Ormita offers a risk-free method of trialing new products "off-market", creating a "buzz", soliciting feedback, generating referrals and testing consumer acceptance before a full product launch. Creates a Competitive Edge Businesses can attract customers away from their competitors, fund prizes and gifts for existing customers, create new promotions and expand their customer base. Better Credit Terms Ormita participants can access interest free loans and repay them with their own products and services. Additionally, those who repay their loans by selling gift-certificates benefit from the delay between voucher purchase and redemption, clients loosing vouchers (which are not refundable) and breakage (only having a certain percentage of the certificate redeemed). A New Way of Providing Shareholder Benefits Businesses are able to issue stockholder benefits in vouchers for products and services available within the Ormita network. They can also give holiday presents, sales bonuses and customer inducements all without having to dip into their cash reserves. Self-Insurance for Businesses Participants of Ormita can pre-purchase a set amount of dental, medical and other health related services for allocation to their employees in case of illness. This reserve is funded out of new sales, not existing cash income. Protects the Local Economy Economies of scale, transfer pricing, and capitalising on cheap Third World labour or raw materials can enable larger multinational and interstate manufacturers and retailers to tip the so-called "level playing field" in their direction, to the detriment of local businesses. Ormita offers a way for businesses to trade locally and mobilize the value of their products and services in a way that is more cost effective than purchasing from outside suppliers. Increases Visibility More customers, a greater number of referrals, a bigger portfolio, more feedback, better signage, more promotional activities and new advertising campaigns funded from additional sales all contribute to improving a businesses atmosphere and visibility. Builds Community Members buy and sell with other members, providing the opportunity for more networking and support from others within the community. Promotes Giving Charities can accept in-kind donations of goodsand services and trade them for things they need. ____________________________________________________________________________________ _____________________________________________________________________________________________________ Page 18 Ormita India Member Directory Updated 18th July 2010 Some More Reasons To Trade With Ormita Do we have your latest information? It is from this account that you will record your barter sales and purchases. BARTERING INCOME IS TAXABLE It is important to remember that if you make a profit in Ormita barter rupees, you will be subject to income tax. THERE IS A SOLUTION … You won’t have to pay tax if, however, you make the same value of purchases as you receive in income or you spend more on barter than you earn. In short: when you buy as much as you sell, your income tax is nil. Instead, you have used Ormita to improve your business and save cash. MAKING THE MOST OUT OF ORMITA To make your whole working capital cycle, which includes Ormita, cash, receivables, payables, and taxes, operate effectively, you need to be creative and disciplined. You need to be willing to stop paying cash to people just because you have done business with them over a long period of time. Either get them to become members of Ormita or ask Ormita to find someone else who will sell to you from within the network instead! Remember, when you pay cash, it is a one-sided transaction. There is one buyer, and one seller. When someone likes you only for your cash, you really don’t have a solid relationship, built on trust, and what is good for both parties. Just because you buy from them in cash does not necessarily mean that they, or their friends, will make purchases from you at any time in the future. But when you trade, there are two buyers and two sellers. You have formed a strategic alliance with someone who cares more about you than just your cash. USING ORMITA AS COMPENSATION Spending Ormita Credits can be a great way to provide bonuses or other types of compensation without raiding your company's bank account. Just keep in mind that paying Ormita Credits to employees, like cash, is subject to personal taxes. That being said, it is cheaper to pay someone in barter rupees (which you, in turn, earned from selling your idle capacity or products which you otherwise would not have sold) than it is to part with hard earned cash. Another way to use Ormita Credits for business expenses, while boosting morale and increasing your productivity, is paying for improved office facilities, providing day-care services, offering health benefits, giving staff opportunities to enroll in after-work educational courses, offering company vehicles or paying for employees personal travel in lieu of a cash wage increase. TAKING ORMITA AS DRAWINGS Almost every business owner has injected their own personal funds into the company in the hope that one day they will get it back. Ormita provides an opportunity for owners to be repaid in Ormita Credits immediately. In this instance, the repayment should not incur any tax – as you are repaying a business loan, not paying yourself wages. This is typically because the margins are too low, and consumer cash sales are too high to warrant a barter deal. If a trader can not make a reasonable profit on the item in cash and/or depends on selling a volume of the item then chances are they will not sell them on barter. These types of items include the latest models of: • (Genuine) Ipod’s • Blackberries • Televisions • Laptops • Digital Cameras • Cars, Bikes etc Because certain items have a fixed market price and an almost unlimited demand it is unlikely that you will acquire: • Gold • Diamonds • Copper • Steel • Wholesale grains • Wholesale fruit Chances are you may occasionally strike it lucky and get one, or even two of these, via Ormita at 100% trade in some special transaction – but this is uncommon, and deals like this should not be counted on. Certain brands, suppliers or product ranges will also never be customers of Ormita because of internal policies, supply arrangements, resale restrictions, sale agreements, or as a result of their product being exclusive to a certain market. CALCULATING THE COST OF GOODS SOLD VIA ORMITA In an ideal world a business owner could offset all of their “cost to replace / cost of sale” against new purchases made on Trade at 100%. Because this is not always possible, businesses with a high-cash component are often reluctant to sell for full trade because they can not utilize all of the new revenue to offset a large enough portion of their “direct-cost-of-sale” within a reasonable amount of time. As a result of this, 100% non-cash transactions are not possible in all instances. Part Cash / Part Barter Deals WHY SOME PRODUCTS WILL NEVER BE AT 100% TRADE ____________________________________________________________________________________ _____________________________________________________________________________________________________ Page 25 Ormita India Member Directory Issue 2 Example 1: 1. Business A sells a car for INR10,000 2. The cost of the car was INR5,000 3. They use INR1,000 of Ormita Credits every month as a “replacement” for cash (i.e. they replace existing suppliers who sold to them for cash for those who will now sell to them for trade) 4. If they used the cash saved to pay for a replacement car they would have to save for 5 months Although the business has made a profit in Ormita, the replacement cost of the product may be difficult to cover because of the time it takes them to “save” enough of the cash being offset by trade every month. New customers may walk in every day wanting to buy on trade and the sellers trade balance grows. Eventually the seller may stop accepting trade because there is not enough liquidity (it is not easy for them to spend their trade rupees in place of cash). In other 100% trade situations Sellers may limit trade availability in anticipation of cash customers or because they are uncomfortable with the idea of “not being able to spend” or “spending down over time”. This results in only a few of the products being available at any one time. Example 2: 1. A restaurant has empty seats 2. They budget to spend 2 Lacs of Ormita Credits every month 3. Suddenly they get a non-budgeted order for a banquet worth 20 Lacs 4. It costs them 5 Lacs to make the food to fulfill the order 5. It would take them 2.5 months of using trade to recover their cash cost from savings achieved using Ormita 6. In the interim they would be unable to accept any more trades because they would be building up credit faster than they could spend it ____________________________________________________________________________________ _____________________________________________________________________________________________________ Page 26 Ormita India Member Directory Updated 18th July 2010 If equity existed and many of the fixed and sundry expense could be offset by a trade component, then trade networks could meet their intended purpose. Unfortunately most trade groups simply ignore the reality that some cash is required in situations where goods or services are at a premium or they are difficult to replace from the savings made through effective trade utilization. The old saying “one size fits all” is certainly inaccurate when it comes to the non-cash trade industry. The replacement cost of goods varies greatly by industry as will the cash savings able to be offset through utilizing trade. While most businesses would like to sell their product for 50% cash and 50% trade, the reality is that market supply and demand also adds into the equation. Few people would book a hotel room, off-season, at standard rack rates for 50% cash and 50% trade when there were other hotels in the area selling their rooms at a 50% discount. Business owners are generally conservative spenders. The more they can trade and save cash the better and they understand that trade credits are real money backed by real assets. Trade is not something which should be discounted or “thrown away”. It is essential for businesses to use trade to cover their overheads but they should also be able to accept additional trade when it is offered without having to worry about how they will fund a replacement product. While everyone would like to sell their product for 50% cash and 50% trade credit, and at the same time buy everything they need at 100% trade. The reality is, however, that the trade-versus-cash component needs to vary based on the cost of goods sold and the ability to utilize the new income to generate real cash savings. ____________________________________________________________________________________ _____________________________________________________________________________________________________ Page 27 Ormita India Member Directory Issue 2 SO WHAT IF I ABSOLUTELY NEED TO SELL ON A PART CASH BASIS? We actively encourage our members to sell on 100% barter wherever possible. Provided you are using all the barter rupees you earn this should be feasible for most businesses. Using a generic “Cost of Goods Sold / Cost to Fulfill Additional Sale” model, Ormita has developed 4 (four) different categories of acceptable trade/cash splits. These categories represent the minimum percentage trade allowed to be accepted by a business. How to Calculate Savings By Using Ormita 1. Calculate how much it costs you to make a new sale. Do not calculate your existing fixed costs (rent, electricity, wages) in this figure. - Do you have spare time already? - What is the cost to produce, or buy, a replacement item? 2. Work out the cash price that you would normally pay for the product or service that you wish to buy. 3. The mark-up you make on your product or service is effectively your discount. THE FIGURES COST OF GOODS SOLD Average Cash Sale Price INR 120 Cost to Make Sale INR 28 Percentage Profit Margin 77% ( Avg Sale Price – Cst to Mk Sale) / Avg Sale Price = PERCENTAGE PROFIT MARGIN SAVINGS VIA BARTERING Percentage Profit Margin 77% - Ormita Commission 7% Actual Discount By Bartering 70% Your profit margin, less 7% (the fee paid to Ormita), is the amount you save by purchasing using Ormita. ____________________________________________________________________________________ _____________________________________________________________________________________________________ Page 28 Ormita India Member Directory Updated 18th July 2010 How To Process Transactions Ormita encourages buyers and sellers to engage directly with one another and negotiate deals. Part of this process involved EDUCATING your staff on how to accept an Ormita transaction. WHAT IF I DON’T WANT TO DEAL WITH BARTER ENQUIRIES DIRECTLY? We can set your account to “Broker” only which means that we will field all queries on your behalf and then pass them on directly to you. HOW CAN I PROCESS TRANSACTIONS? There are several ways to process transactions. Transfer barter rupees online when you buy You will be given an Ormita account with online access. Using the account you can log in and transfer barter rupees to another members account online. All you need is their account name / company name. Debit a plastic card online if you are a seller If someone presents you with an Ormita card you can enter the card number online at our website – www.ormita.co.in and funds will be transferred from their Ormita barter account to yours. Complete a Trade Purchase Request Agreement Buyer and Seller both fill out a Trade Purchase Request Agreement and fax the document to their Ormita broker. The broker will then process the transaction and record the barter debit and credit to the respective Ormita members accounts. A copy of this form is located at the back of this Member Directory. Buy using an Ormita “cheque” Ormita has special barter cheques which the buyer can give to the seller. The seller then “deposits” these cheques with Ormita by either post or fax and the Ormita broker will process the transaction and debit the buyers Ormita account and credit the seller. ____________________________________________________________________________________ _____________________________________________________________________________________________________ Page 29 Ormita India Member Directory Issue 2 Ormita members can buy from one another using a basic “Cheque-like” document, a sample of which is below. This is particularly useful for small transactions and/or where you don’t wish to give out your plastic card number. STEPS TO USE THE ORMITA CHEQUE 1. Buyer writes the cheque. 2. Buyer gives cheque to the Seller. 3. The Seller gets a photocopy of the ID of the Buyer. 4. Prior to giving out any product or service, the Seller calls Ormita to get prior approval from their Broker (transactions greater than INR 5,000 only) by telephone. 5. The Broker will ensure that the Buyer has enough barter rupees in their account to process the transaction. 6. The Seller takes a photocopy of the cheque and posts the ORIGINAL to Ormita. 7. Ormita debits the Buyers account and credits the Sellers account as soon as we receive the Cheque. Processing An Ormita Cheque ____________________________________________________________________________________ _____________________________________________________________________________________________________ Page 30 Ormita India Member Directory Updated 18th July 2010 1. Transferring Barter Rupees Online ____________________________________________________________________________________ _____________________________________________________________________________________________________ Page 31 Ormita India Member Directory Issue 2 Members have 2 ways of viewing and printing their own Businesses Statements. Either by the Statement Period as is generated by the Administrator or members can print off a transaction statement by any period they wants, by specifying a date range, then clicking view and print. Sometimes a member may have trouble getting the statement to show, but most often it’s because they have a Pop-up blocker, which they will have to remove, or temporary disable. Then the Statement will become viewable and able to be printed. Statements can also be emailed from the Administrator. The Administrator will send out an email to all members as a reminder when the statement period has ended. This email will also state the date that their credit card will be deduced for that months due fees. This email will say that they can now log on to their accounts and print off their own statements. This is similar to what a typical bank requests. If a member is not willing to do this, the broker will email, print, or fax the individual members’ statement for a fee, just like the typical banks do.
